The Service is operated by Michal Antal (živnostník), Kollárova 3, 903 01 Senec, Slovensko, IČO: 53076966 · DIČ: 1124636909 (the "Operator"). A Partner is an individual or company whose application to the partner programme the Operator has approved.
A Partner is neither an employee nor a commercial agent of the Operator and may not enter into contracts, accept payments or make binding promises about the Service on the Operator's behalf.
The cooperation begins when an application is approved. An application alone creates no entitlement and the Operator may decline it without giving a reason. Once approved, the Partner receives a unique code and link.
By accepting these terms the Partner confirms that the details given are accurate and undertakes to keep them up to date in their profile.
A client is attributed to a Partner if they sign up through the Partner's link, enter the Partner's code during sign-up, or add the code in their account within 30 days of signing up. The Operator may also apply an attribution on evidenced request.
A client belongs to one Partner permanently; the first attribution stands and later ones do not overwrite it. A Partner may not attribute their own account, or an account they control, to themselves.
The Partner is entitled to 40 % of the first paid subscription invoice of an attributed client and 10 % of every subsequent paid invoice from that same client, with no time limit. If a client stops paying and later resubscribes, that counts as a subsequent payment at 10 %.
The basis is the invoiced amount excluding VAT, after discounts and promotional codes. One-off add-on purchases, such as AI credit packs, are not included.
The Operator may agree different rates with an individual Partner or for an individual client; the applicable rate is always the one shown in the Partner's dashboard. Rate changes are announced at least 30 days in advance and do not affect commissions that have already arisen.
A commission arises on the day the client pays the invoice and remains "pending" for 30 days. If the payment is refunded or reversed within that period, the commission lapses.
After that period the commission joins the next monthly payout to the bank account in the Partner's profile. Payouts are made in the currency the client paid in. The Operator may set a minimum payout amount; a balance below it carries over to the next period.
If a payment is refunded or disputed with the card issuer after the commission has been paid out, the Operator may set the corresponding amount off against the next payout.
A Partner who is in business issues an invoice for the commission under their own law and handles their own tax and social security obligations. Commission quoted to a business is exclusive of VAT; a VAT-registered Partner adds it on top.
Where the Partner is a private individual, the Operator withholds and remits income tax to the extent the law requires. For that it needs the Partner's national ID number before the first payout; it neither requires nor stores it before the first payable commission arises.
Under Slovak law, arranging business regularly and for reward is a trade. Assessing their own legal position is a matter for the Partner.
A Partner sees a client's trading name (or a placeholder identifier where none is filled in), the sign-up date, the chosen plan, the subscription status and their own commission. They do not see the client's email, phone number, projects, areas or quotes.
A Partner may use these details only to manage their own cooperation with the Operator. Passing them to a third party, using them for marketing or adding them to a separate database breaches these terms.
On breach the Operator may suspend the Partner's account and withhold commissions arising from that conduct.
The Operator processes the Partner's data (identification and billing details, bank details, and for a private individual also date of birth and national ID number) to perform this agreement and to meet legal obligations. The national ID number is stored encrypted and is not disclosed to anyone except where the law requires it.
Accounting records, including the commission ledger, are kept for the period required by accounting law, including after the Partner's account is deleted. The detail and the data subject's rights are in the privacy policy.
Either party may end the cooperation at any time, with or without reason, by notifying the other. On ending, the right to commission from payments received after that date ceases; commissions that arose before it and were not cancelled are paid on the normal schedule.
The Operator may close the partner programme at any time on at least 30 days' notice. Commissions that have already arisen are unaffected.
These terms are governed by the law of the Slovak Republic. The Operator may change them on at least 30 days' notice, and the Partner accepts a change by continuing to use the programme. The version the Partner agreed to is stored in their profile with the date of acceptance.
